Terms of Service

1. About these Terms

These Terms of Service (“Terms”) govern your use of contactify.llc and any quote, sample, order or data you receive from Contactify, a service operated by DesiCode InfoSolutions LLP (“we”, “us”). By requesting a quote, accepting a sample or placing an order, you agree to these Terms on behalf of the business you represent (“you” or the “Client”).

2. Business customers only

Our services are offered to businesses and professionals, not consumers. You confirm that you are at least 18 years old, that you act on behalf of a business, and that you have authority to bind that business to these Terms.

3. Definitions

• Brief — your description of the contacts you need.
• Bulk List — Data selected by filters such as industry, role and country, usually from 500 contacts.
• Curated Pull — Data researched for the specific companies, people or profile links you name.
• Ready List — a pre-built list sold at a fixed price, such as our alcohol trade lists.
• Quote — our written offer confirming availability, volume, price and delivery time.
• Sample — a small set of records from a Bulk List or Ready List, provided free for evaluation.
• Order — a Quote you have accepted and paid for.
• Data — the business contact records we deliver to you under an Order.

4. Quotes, samples and orders

• Quotes are valid for 14 days unless they say otherwise. Availability is confirmed at the time of the Quote and may change after it expires.
• Samples are free and apply to Bulk Lists and Ready Lists only. You may review a Sample internally. You may not use it for outreach until the related Order is paid.
• Curated Pulls are researched to order, so they come without a Sample. They carry a minimum order value of $500, and you pay only for the targets we confirm in the Quote.
• An Order is formed when you accept a Quote and we receive payment.
• Prices shown by the pricing calculator and List Builder on our website are indicative estimates, not offers.

5. Prices and payment

• Prices are set out in your Quote, per contact or as a fixed package price. They are stated in US dollars unless agreed otherwise.
• You may pay by cryptocurrency, through a payment app, by bank transfer in US dollars, or by local bank transfer in INR, AED, SGD or HKD. Local transfers are received by our partner firms in India, the UAE, Singapore and Hong Kong, which may issue the invoice or receipt on our behalf. GST is added to invoices in India where applicable.
• Cryptocurrency payments are valued in US dollars at the amount stated in your payment instructions. A payment counts as received once it has the network confirmations we specify.
• An official invoice is available on request.
• Bank charges, currency-conversion costs, network (gas) fees and payment-app fees on your side are your responsibility.
• We start final verification and delivery once payment is confirmed or secured.

6. Delivery

• Data is delivered digitally — as an Excel, CSV or Google Sheets file, or another agreed format — by email or secure download link. Nothing is shipped physically.
• Delivery times in Quotes are good-faith estimates. Lists from our existing inventory are usually delivered within 48 hours of payment.
• Please check each delivery promptly. If it does not match your Quote — for example, the wrong roles or countries — tell us within 7 days. Hard-bounced emails are covered separately for 30 days under our Refund & Replacement Policy.

7. Your licence to use the Data

On full payment, we grant you a non-exclusive, non-transferable licence to use the Data for your own organisation’s internal business purposes — including sales, marketing, partner recruitment and market research — in line with these Terms and our Responsible Use Policy. We and our licensors keep all rights in the Data as a compiled database.

8. What you may not do

You must not:

• resell, sublicense, publish, share or give the Data to any third party, other than service providers acting for you (such as your CRM or email platform);
• use the Data to contact consumers, or for any purpose unrelated to the recipients’ professional roles;
• send unsolicited bulk messages in breach of applicable anti-spam or telemarketing law;
• use the Data to market alcohol to consumers or to anyone under the legal drinking age;
• use the Data to make decisions about anyone’s eligibility for credit, employment, insurance or housing;
• use the Data for harassment, fraud, phishing or any other unlawful purpose; or
• combine the Data with other data to build a competing database or data product.

9. Your responsibilities

You are responsible for how you use the Data. That includes complying with every law that applies to your outreach, for example: CAN-SPAM and the TCPA (United States), the GDPR and PECR (EU and UK), CASL (Canada), the DPDP Act, 2023 and TRAI telemarketing regulations (India), and the Spam Act 2003 (Australia).

In particular, you must identify yourself and include a working opt-out in every marketing message. You must honour opt-outs promptly and maintain a suppression list.

We do not send emails, calls or messages on your behalf.

10. Accuracy and our guarantee

Every email in your Data passes our verification process before delivery. Business contact data changes over time, so we do not warrant that every record will remain accurate indefinitely, or that the Data will produce any particular business result. Your remedies for inaccurate records — including our 30-day bounce replacement guarantee — are set out in the Refund & Replacement Policy.

11. Refunds and cancellations

Because Data is a digital product that cannot be returned once delivered, refunds are handled under our Refund & Replacement Policy. You may cancel an Order for a full refund before we deliver it, less any third-party bank or payment fees already incurred.

12. Confidentiality

Each party will keep the other’s non-public business information — including Briefs, Quotes, pricing and Data — confidential, and use it only for the purposes of our relationship.

13. Intellectual property

The website, the Contactify name and brand, and all text, design and software on contactify.llc are owned by DesiCode InfoSolutions LLP or its licensors. You may not copy or reuse them without our written permission.

14. Disclaimers

Except as expressly stated in these Terms, the Data and our services are provided “as is”. To the extent permitted by law, we exclude all implied warranties, including warranties of merchantability and fitness for a particular purpose.

15. Limitation of liability

To the extent permitted by law, neither party is liable for indirect or consequential losses, or for loss of profit, revenue, data or goodwill. Our total liability arising from any Order is limited to the amount you paid for that Order. Nothing in these Terms limits any liability that cannot be limited by law.

16. Indemnity

You will indemnify DesiCode InfoSolutions LLP against claims, fines, penalties and reasonable costs arising from your use of the Data in breach of these Terms, our Responsible Use Policy or applicable law.

17. Suspension and termination

We may decline an Order, or suspend or end your access to our services and your licence to the Data, if we reasonably believe you have breached these Terms or our Responsible Use Policy. Provisions that by their nature should survive — including licence restrictions, confidentiality, limitation of liability and indemnity — survive termination.

18. Governing law and disputes

These Terms are governed by the laws of India. The parties will first try to resolve any dispute in good faith within 30 days of written notice. Any dispute not resolved in that time will be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated in Mumbai and conducted in English. Subject to this, the courts at Mumbai, Maharashtra have exclusive jurisdiction.

19. Changes to these Terms

We may update these Terms from time to time. The version in force when you accept a Quote applies to that Order.
